Terms of Service

Forge ERP is currently in private beta. By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.
1. Beta service
Forge ERP is in active beta. Features may change, break, or be removed without notice, and we may suspend, limit, or withdraw the service, in whole or in part, at any time. Beta software can contain defects that produce incorrect output or cause loss of data.
THE SERVICE IS PROVIDED DURING BETA ON AN “AS IS” AND “AS AVAILABLE” BASIS. YOU ASSUME ALL RISK ARISING FROM YOUR USE OF IT, INCLUDING ANY LOSS OR CORRUPTION OF YOUR FINANCIAL DATA. YOU ARE RESPONSIBLE FOR MAINTAINING YOUR OWN BACKUPS AND FOR INDEPENDENTLY RECONCILING ANY FIGURE YOU RELY ON.
Do not use the service as your sole system of record, and do not rely on its output for a regulatory or tax filing, without independent reconciliation and review by a qualified person in your organization.
2. Your account and data
You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You retain ownership of the data you submit. You grant us a limited license to process it solely to operate and improve the service.
3. Acceptable use
You agree not to:
- Use the service to violate any applicable law or third-party right.
- Attempt to access data or systems you are not authorized to access.
- Reverse engineer, scrape, or rate-abuse the service.
- Upload malware, illegal content, or content you do not have rights to.
4. Fees and billing
Beta tenants may be offered free or discounted access. When you select a paid plan, you authorize recurring charges via our payment processor. Fees are non-refundable except where required by law.
5. Termination
Free trials do not require a payment method and do not convert into a paid plan or charge you automatically; the trial simply ends. If you are on a paid plan, you may cancel at any time from your billing settings. We may suspend or terminate accounts that violate these Terms, present a security risk, or remain inactive for an extended period. Upon termination you may export your data for 30 days; after that, data may be deleted.
6. Warranties and liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ITS OUTPUT WILL BE ACCURATE OR COMPLETE.
NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST OR CORRUPTED DATA, EVEN IF ADVISED OF THE POSSIBILITY.
Our aggregate liability for all claims arising from the service is limited to the greater of the fees you paid in the twelve months preceding the claim or one hundred US dollars.
Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, fraudulent misrepresentation, or willful misconduct. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
7. Changes
We may update these Terms. Material changes will be announced in-app or by email. Continued use after the effective date constitutes acceptance.
8. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising under these Terms will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for intellectual property or data security matters.
9. Accounting, tax, and compliance disclaimer
Forge ERP is software — not a licensed accounting firm, tax advisor, or legal counsel. The platform provides tools and workflows to support your financial processes. It does not ensure, guarantee, or certify compliance with GAAP, IFRS, tax law, industry regulations, or any other accounting or legal standard.
Specific limitations you should understand:
- Revenue recognition (ASC 606, ASC 842, etc.): The system provides workflows that support common recognition methods, but the correct method for your contracts depends on their specific terms and requires professional judgment. The software does not determine whether a performance obligation has been satisfied or whether recognition is appropriate in your circumstances.
- Payroll costing and labor distribution: The system records payroll data imported from your external payroll provider and allocates labor costs to projects, phases, and cost codes for job costing and forecasting purposes. Forge does not process payroll, calculate tax withholdings, file tax returns, or remit employment taxes. You are solely responsible for payroll processing, tax compliance, and remittance through your chosen payroll provider.
- Nonprofit and fund accounting (ASC 958, Form 990): Correct compliance requires your organization to properly classify donor restrictions, document release decisions, and maintain policies that satisfy your auditors and funders. The software facilitates tracking — it does not make these determinations on your behalf.
- Fixed asset depreciation: Depreciation methods and useful life estimates are accounting judgments that depend on your organization's policies and the specific nature of each asset. The system applies the method you configure; the appropriateness of that method is your responsibility.
- Audit readiness: Using this software does not guarantee that your financial records will pass an audit. Audit readiness depends on your internal controls, data quality, reconciliation practices, and the judgments embedded in your accounting policies — none of which the software can assess on your behalf.
- AI-generated content: AI agents and suggestions within the platform are tools to assist your team. They do not constitute accounting advice, legal advice, or professional recommendations. All AI-suggested entries must be reviewed and approved by a qualified human before affecting your books.
Before implementing accounting policies, relying on system output for regulatory or tax filings, or making material financial decisions based on information from this platform, consult a qualified CPA, auditor, tax professional, or legal counsel appropriate for your jurisdiction and circumstances.
